Conditions of Sale
When placing an order please try to use a code, either ours or the manufacturers, to ensure receipt of the correct goods.
Please check your order at the time of receipt to aid any corrections which may need to be made.
You can order by phone, online, or fax. However, we strongly advise that orders are placed by fax or online as OMM will accept no responsibility for code or quantity discrepancies on telephone orders.
All orders will be delivered on a next day basis provided they are received before our sales cut-off time. This is five o’clock for all orders. Please keep in mind there can be delays in emailed and online orders from them being sent and receipt by the OMM Business Solutions Ltd. OMM accept no responsibility for any delays.
While OMM will take all reasonable means to deliver your order to you on a next day basis, we can take no responsibility for civil or public actions, Force de Majeur, or manufacturer shortages.
Should you not be able to find what you require one of our staff will be happy to source it for you. This will be classed as a ‘special’ order. A special order may only be placed in writing and cannot be returned or cancelled once placed.
A minimum £25.00 + VAT order value will apply on all orders for products outside of the catalogue.
All furniture will be supplied flat packed with no assembly included unless ordered from our specific furniture publication. OMM will not accept any liability should we be requested to assemble any furniture. Furniture will be delivered a minimum of three days after the date of order. All furniture items are treated as none returnable except in the case of manufacturer fault.
OMM will gladly accept return of non-faulty merchandise within 14 days of purchase provided the goods are returned in all original packaging and in the same condition as they were received.
OMM will not accept return of goods which have been defaced in any way e.g. writing on the packaging. Returns placed after fourteen days may be subject to a handling charge. OMM reserve the right to refuse the right to return goods.
OMM will not accept return of any goods which have previously been agreed as non-returnable i.e. specials items, bespoke print items and furniture.
All returns must be registered with our head office and it is recommended that the customer retain their copy of the return note until a credit note is issued. OMM will accept no liability for loss of goods given to our carriers without the correct paperwork. OMM will also not take responsibility if we do not have a record of the return.
Returns revised changes effective from Monday 4th April 2011 are outlined below:
- 15 day limit to return the required product to your local RDC. In the case of requests outside of this limit, agreement must be sought and a 20% handling charge will apply.
- In the case of Third Party Collections, all Not Required returns will attract a 20% handling charge.
- Goods returned with a credit value below £38.50, before handling charge, will attract an additional charge up to a total handling charge of £7.70.
- Where goods returned have a credit value greater than £38.50, a 20% handling charge only will apply.
- Additional charges where the 20% handling charge is below £7.70 will be consolidated and invoiced at month end.
- In the case of Third Party Collections , faulty / damaged product returned which is proven to be Not Required, will attract a £5.00 charge per item returned.
- In the case of Third Party Collections, where the consumer decides to keep the goods (referred to as an NTC - Nothing To Collect), a charge will be levied equal to the standard next day Third Party delivery charge.
- Food and beverages - non returnable
- Diaries and planners - not required return requests to be made by the 10th December of the year previous to the year to which such dated products relate.
- In the case of computer consumable products, Not Required returns will only be accepted within 15 days if the outer seal has not been tampered with in any way. If the Buyer returns such product(s) as faulty, it will only be granted a credit note if the manufacturer of such product(s) accepts that the product has not been misused, overloaded, incorrectly installed or incorrectly stored. In certain circumstances, the buyer must complete a faulty product evaluation form.
OMM believe wholeheartedly in creating a sustainable environment. We take all measures possible in the running of our business to support this view.
OMM are happy to collect any of our boxes, used toners, or old mobile phones from customers to be recycled. This service is supplied completely free of charge, but does not cover any other waste generated by your business.
OMM Print Terms & Conditions
All print jobs will take a minimum of seven working days (beginning the day after proof approval) excluding online business cards.
No print job will commence without a written consent from a client. Once this consent is given a job may not be cancelled and OMM reserve the right to charge the full value of the order.
OMM reserve the right to apply an artwork charge should we prepare proofs and then not receive an order.
The minimum charge will be £80.00 per hour.
Once a print job is approved it cannot be cancelled.
Should a job be urgent OMM will endeavour to accommodate a clients needs. However, if we are not warned of this in advance we reserve the right to refuse, or charge a fee for quicker production.
OMM will do everything possible to match a clients existing sample. OMM will confirm pantone colours and provide material samples prior to commencing any job.
After customer approval OMM acccept no responsibility for any material discrepancy.
Wherever possible OMM insist that a customer provide a sample of their previous artwork including font and Pantone references. This must be in an appropriate file format. Should this not be available OMM will create any necessary artwork, we will not however accept responsibility for any discrepancy if artwork is not supplied and has been approved by the customer.
Please be aware that a PDF file of previous artwork does not constitute an artwork file, neither do bitmaps.
OMM will only accept artwork in a quark format. Any discrepancy caused by the provision of incorrect artwork is done at the customer’s liability.
Please be aware that quantity discrepancies of 10% (under or over) often form part of any print job and OMM accept no responsibility for this.
Standard delivery of Print work will be five working days for online ordered business cards and ten working days for all other print jobs (unless otherwise stated on initial quotation).
OMM are happy to store print work in our Warehouse on a Call Off basis. All Call Offs must be paid for in advance. If none of the stock has been used after a six month period OMM reserve the right to charge for space used in our Warehouse (£60.00 per week per pallet space (minimum charge).
Any print order placed is acceptance of these Terms and Conditions.
All print orders are non-returnable and non-refundable under any circumstances.
All print orders must be checked on receipt as once goods are signed for any responsibility for damage or error is assumed by the customer. This clause applies automatically to call off orders, a signature will be assumed by both OMM and the Customer as having been given by the Customer in question.
Terms and Conditions of Promotional Offers
All vouchers will be issued on value of invoice once credits are taken into account not on value of order.
No cash alternatives will be entered into.
Should any account not adhere to the terms and conditions of any department then all promotions shall be considered null and void. Stationery orders that feature more than 25% of toner or 50% of any product as making up there value will not count in any promotion unless explicitly stated within the promotion (or otherwise consented to in writing, proof required).
Previous business (before start date of scheme) done with the OMM Business Solutions Ltd, any
department or any of its subsidiaries, will not be included within any promotion.
OMM reserve the right to substitute any promoted item with something of equivalent or greater value.
OMM accept no liability for any personal risk or injuries incurred whilst involved in any activity earned through the promotional schemes.
Should your gift be defective or unsatisfactory all correspondence should be entered into with the company responsible for that gift.
No gift once selected and issued is returnable to OMM.
The Scheme shall only be applicable to customers using the OMM online ordering service unless otherwise stated.
Purchase is required.
OMM reserve the right to cancel the scheme at any time.
No other promotions run by the OMM Business Solutions Ltd may be entered into should a customer have consented to this scheme.
VAT will never count toward the value of any order or have any value as part of a Promotion.
All decisions of the OMM Business Solutions Ltd are final.
Terms of Trading
The OMM Business Solutions Ltd Limited (hereinafter referred to as ‘The Company’) supply goods and services subject only to the terms and conditions herein contained which are to the extent permitted by law to the exclusion of all other guarantees, conditions and warranties (including any as to qualify of fitness for any particular purpose) whether express or implied by statute, common law or otherwise. In the event of customers’ orders containing terms or conditions inconsistent with these terms of trading, the later shall prevail.
No addition to or variation from these terms or variation from these terms and conditions shall have effect unless the same is expressly accepted by the company in writing under the hand of a Director of the Company.
The Companies catalogues, price lists and other advertising matter shall form part of any contract between the company and its customers.
The company reserves the right to modify designs and specifications without prior notification.
The price of the goods shall be the price quoted at the date the order was made by the customer, either by phone, online or fax. The Company reserves the right to amend or withdraw agreed prices, by giving notice to the customer at any time before delivery of the goods, whereupon the customer may cancel its order for the goods in questions.
a. Payment terms are thirty days after invoice date.
b. All charges are subject to VAT at the current rate.
c. All payments must be made in full and on time. Prompt payment is a condition of this agreement. OMM Business Solutions Limited reserves the right to charge interest (2% per month) on all overdue amounts from the date payment was first due until the customer pays in full. This does not affect any of OMM Business Solutions Limited statutory rights. Further OMM Business Solutions Limited can
request for any outstanding sum to be paid by the customer by way of credit card however the customer must pay a further 5% by way of handling charge.
Although every effort will be made to fulfil delivery dates, no liability arising from delay is accepted by the Company.
Non-Delivery should be advised in writing to the Company within 7 days of despatch date, or date of invoice, whichever is earlier. Shortages or damage of goods must be notified in writing within 3 days of receipt, but in these circumstances goods must have been signed for as damaged or un-examined.
Cancellations of non-stock items cannot be accepted and in any other event only with the specific written consent of a Director of the Company provided always that if the goods are dispatched from the companies’ premises prior to receipt of written notice requesting cancellation of the order, handling and transportation costs will be charged.
Returns of goods sent in accordance with customers’ orders cannot be accepted unless a Director of the Company has agreed in writing to accept their return. The Company recommend that the customer arrange for goods returned to be insured and carefully packaged. Where the company aggress to accept the return of goods, these must be returned at the customers expense, be in perfect condition and will be subject to a 25% handling charge
Where at the customers’ request, special handling, packaging or transportation of goods is required; this will only be done at the customers’ expense.
Risk on goods passes to the customer upon delivery but title remains with the company unless all monies due from the customer to the Company are paid. The company reserves the right to recover and repossess goods and dispose of goods as it sees fit in the event of payment not being made pursuant to the terms hereof.
Warranty and Liability
OMM Business Solutions Ltd warrants that:
- OMM will supply the goods in a competent, professional and workmanlike manner with the skill, care and diligence to be expected of an expert supplier providing the same or similar goods;
- the goods supplied under each order will conform in all material respects with their specifications as set out by OMM;
- OMM is duly incorporated, validly existing, and in good standing as a company under the laws of the jurisdiction of its formation; and
- OMM has all rights necessary for (and is not subject to any restriction, penalty, agreement, commitment, law, rule, regulation or order which is violated by) its execution and delivery under these terms and conditions and performance of its obligations under these terms and conditions.
The OMM Business Solutions Ltd make no representation warranty or condition as to the quality or fitness for purpose of its goods or service other than to the extent, if any, that may expressly have been made by the Company to the customer in writing. Any damages properly payable by OMM Business Solutions Ltd; whether for negligence or otherwise, are limited to the price payable by the customer for the relevant product. In no event shall OMM Business Solutions Ltd liability include any indirect or incidental or consequential damages. Nothing herein shall be deemed to restrict or exclude any liability of OMM Business Solutions Ltd for death or personal resulting from its negligence.
These terms and conditions shall be governed by the laws of England and Wales and any dispute shall be referred to the exclusive jurisdiction of the English courts.
